Terms of Service

These Terms of Service govern your use of EngiiCore, provided by Engii-Soft A/S. EngiiCore is a service for businesses (B2B). Please read the terms carefully — by creating an account or using the service you accept them.
Acceptance of the terms
By accessing or using the service you accept these terms and our privacy policy. If you disagree, you may not use the service. The service is offered exclusively to businesses and is not directed at consumers; by using it you confirm that you act in the course of your trade or profession. If you use the service on behalf of a company, you warrant that you are authorised to bind that company.
Definitions
"the Company", "we" or "us" means Engii-Soft A/S. "the Service" means the EngiiCore platform and related websites. "Subscription" means the paid access to the service. "Account" means your user account. "Customer data" or "content" means the information and material you or your organisation put into the service. "You" or "the customer" means the business — a company or a person acting in the course of their trade — using the service.
Account
You must provide accurate, current information when creating an account, and you are responsible for protecting your login credentials and for all activity under your account. Contact us immediately if you suspect unauthorised access.
Subscription and renewal
The service is provided on a subscription basis. The subscription is billed in advance for the chosen period (e.g. monthly or annually) and renews automatically for a like period unless cancelled before the period ends. You can cancel renewal via your account or by contacting us and keep access until the end of the period.
Fees and payment
The subscription price is [price per user/mo]. All prices are [excl./incl.] VAT. Payment is made via the methods we make available. On non-payment we may suspend access after reasonable notice. We may change prices on [30 days'] notice effective from the next subscription period; on material changes you may cancel before they take effect. Paid subscription fees are non-refundable except where required by mandatory law. As the service is offered only to businesses, the consumer right of withdrawal does not apply.
Founding Member
Founding Members receive a [50%] discount for the first [6 months] of the subscription. The offer applies to a limited number of companies in connection with our beta and may be changed or withdrawn without notice. After the discount period the subscription continues at the applicable standard price unless cancelled.
Free trial
We may offer a free trial. Unless you cancel before the trial ends, the subscription automatically converts to a paid subscription at the applicable price. We may change or withdraw a trial offer at any time.
Acceptable use
You may not use the service for unlawful or harmful purposes. In particular, you may not:
- use the service in breach of applicable law or third-party rights;
- attempt to gain unauthorised access to the service, other customers' data or the underlying infrastructure;
- upload malicious code (viruses, malware, etc.) or disrupt the operation of the service;
- resell, rent out or give third parties access to the service without our written consent;
- infringe intellectual property rights or upload unlawful, infringing or offensive content.
Your data and content
You retain all rights to the customer data you put into the service. You grant us a limited licence to process your data as necessary to provide the service. Where we process personal data on your behalf, we do so as a data processor under our Data Processing Agreement (DPA). You warrant that you are entitled to process the data you put in. We take reasonable backups, but you should keep your own copy of important data.
Intellectual property
The service and all content within it (other than customer data) belongs to Engii-Soft A/S and our licensors and is protected by copyright, trademark and other laws. You get a non-exclusive, non-transferable right to use the service during the subscription period. Our name, logo and trademarks may not be used without our written consent.
Feedback
If you send us suggestions or feedback about the service, we may use it freely without restriction or payment to you.
Confidentiality
Each party keeps the other's confidential information confidential and uses it only to perform the agreement. Confidential information includes your customer data and our non-public information about the service, pricing and technology. The obligation does not apply to information that is public or must be disclosed by law or authority, and it survives termination.
Availability and disclaimer
We strive for high uptime [SLA to be inserted if any], but the service is provided "as is" and "as available" without warranties of any kind, including that it will be error-free, uninterrupted or fit for a particular purpose. We may carry out maintenance and updates that temporarily affect access.
Beta
The service may be made available as a beta or trial version. A beta version is under development, may contain errors, may change or be discontinued without notice, and is provided without any availability or support guarantee. We recommend you do not put business-critical data into the service during beta without keeping your own copy.
Force majeure
Neither party is liable for failure to perform due to circumstances beyond its reasonable control, including power failure, sub-processor outages, internet disruptions, cyber-attacks, fire, strike, war or government action. The affected party notifies the other as soon as possible.
Limitation of liability
To the extent permitted by law, our total liability to you is limited to the amount you paid for the service in the [12] months before the event giving rise to the liability. We are not liable for indirect losses, including operating losses, loss of data, lost profits or margin. Nothing in these terms limits liability that cannot be excluded under mandatory Danish law.
Term and termination
These terms apply for as long as you use the service or hold an active subscription. For a curable breach we give you [14] days to cure before terminating. For non-payment despite a reminder, or for serious or incurable breach (e.g. a security breach or misuse), we may suspend or terminate access without further notice. On termination your right to use the service ends. Within [30 days] of termination you may request to export your data, after which we delete it in accordance with our privacy policy and DPA.
Changes to the service and terms
We may develop and change the service over time. We may change these terms; for material changes we give reasonable notice [e.g. 30 days] via the service or email. If you continue using the service after they take effect, you accept the changed terms.
Governing law and venue
These terms are governed by Danish law, disregarding conflict-of-law rules. If a dispute arises, we first try to resolve it amicably — contact us. If it cannot be resolved amicably, it will be decided by the Danish courts, with [the Maritime and Commercial High Court in Copenhagen / the court of the Company's registered seat] as venue.
Other provisions
If a provision is invalid, it does not affect the others. Our failure to enforce a right is not a waiver of it. You may not assign your rights without our consent; we may assign the agreement to an affiliate or in connection with a business transfer. In case of discrepancy between the Danish and English versions, the Danish version prevails.
